Terms of sale

Article 1 — Purpose and scope

These general terms of sale (the "Terms") govern sales of products concluded between GREENECLAT SAS and any consumer customer (the "Customer") on the website www.greeneclat.com (the "Site"). Any order implies full and unconditional acceptance of these Terms. Sales concluded with business customers are governed by our Trade terms of sale.

Article 2 — Seller identity

Article 3 — Products

The products offered are bio-based colorants for lawns and plants. Their essential characteristics are presented on the product pages of the Site. Photographs and visuals are provided for illustrative purposes only and are not contractually binding. Products are offered subject to available stock.

Article 4 — Prices

Prices are stated in euros, inclusive of all taxes (VAT included), excluding delivery costs. The total amount due, including any delivery costs, is stated before the order is confirmed. GREENECLAT SAS reserves the right to change its prices at any time, it being understood that products are invoiced on the basis of the price in force at the time the order is confirmed.

Article 5 — Ordering

The Customer selects the products, reviews the details of the order and then confirms it after accepting these Terms. The sale is definitively concluded upon confirmation of the order by GREENECLAT SAS and receipt of payment. A confirmation email summarising the order is sent to the Customer.

Article 6 — Payment

Payment is made online, at the time of ordering, using the payment methods offered on the Site. Transactions are secured by our payment provider. GREENECLAT SAS does not store any bank card data. The order is only processed once payment has been confirmed.

Article 7 — Delivery

Delivery methods, times, areas and costs are detailed in our Shipping policy. Products are delivered to the address given by the Customer when ordering. In the event of a delay, the Customer may, under the conditions of Article L.216-6 of the French Consumer Code, terminate the contract if delivery does not take place within a reasonable additional period.

Article 8 — Right of withdrawal

In accordance with Articles L.221-18 et seq. of the French Consumer Code, the Customer has fourteen (14) days from receipt of the products to exercise their right of withdrawal, without having to give reasons or bear any costs other than those provided for by law.

To exercise this right, the Customer notifies their decision by an unambiguous statement (by email to info@greeneclat.com or by post), or using the model form appended below. The Customer returns the products without undue delay and at the latest within fourteen (14) days of communicating their decision. The direct cost of returning the goods is borne by the Customer.

Products must be returned in their original condition, complete and unused. The Customer may be held liable for any diminished value of the products resulting from handling other than what is necessary to establish their nature, characteristics and proper functioning.

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised, in particular, for goods made to the Customer's specifications or clearly personalised.

Article 9 — Refunds

In the event of withdrawal, GREENECLAT SAS refunds all sums paid, including standard delivery costs, at the latest within fourteen (14) days of the date on which it is informed of the decision to withdraw. GREENECLAT SAS may defer the refund until it has recovered the products or until the Customer has provided proof of shipment. The refund is made using the same payment method as the one used for the order, unless the Customer expressly agrees otherwise.

Article 10 — Statutory warranties

Independently of any commercial warranty, GREENECLAT SAS remains liable for lack of conformity of the products under the conditions of Articles L.217-3 et seq. of the French Consumer Code, and for hidden defects under the conditions of Articles 1641 to 1648 of the French Civil Code.

Under the statutory warranty of conformity, the Customer has two years from delivery of the goods to act and may choose between repair or replacement of the goods, subject to the cost conditions provided for by law. The Customer is exempt from proving the existence of the lack of conformity during the twenty-four months following delivery of the goods. Under the warranty against hidden defects, the Customer may choose between cancelling the sale or a price reduction, in accordance with Article 1644 of the French Civil Code.

Article 11 — Personal data

The processing of the Customer's personal data is described in our Privacy policy.

Article 12 — Consumer mediation

In accordance with Articles L.612-1 et seq. of the French Consumer Code, the Customer has the right to use a consumer mediator free of charge for the amicable resolution of a dispute with GREENECLAT SAS, after first sending a written complaint to GREENECLAT SAS and in the absence of a satisfactory response within two months. The mediator must be contacted within one year of the written complaint. The contact details of the consumer mediator to which GREENECLAT SAS belongs can be obtained on request at info@greeneclat.com.

Article 13 — Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the Customer may bring the matter before one of the territorially competent courts under the French Code of Civil Procedure, or the court of the place where they resided at the time the contract was concluded or the harmful event occurred.
