Trade terms of sale

Article 1 — Purpose and scope

These trade terms of sale (the "Trade Terms") apply to all sales of products concluded between GREENECLAT SAS and any buyer acting for business purposes (the "Trade Customer"), in particular distributors, resellers, landscapers, local authorities and managers of green or sports spaces. They constitute the sole basis of the commercial relationship within the meaning of Article L.441-1 of the French Commercial Code. Any order implies acceptance of these Trade Terms, which prevail over the Customer's purchasing terms, unless otherwise agreed in writing.

Article 3 — Products and orders

The products are described in the technical data sheets and safety data sheets provided by GREENECLAT SAS. Every order must be placed via a purchase order or written confirmation. The order becomes firm and final upon confirmation by GREENECLAT SAS (order acknowledgement). Any minimum quantities and free-shipping thresholds are specified in the current price list.

Article 4 — Prices and pricing terms

Prices are exclusive of taxes (VAT excluded). They are defined in the price list and/or the order acknowledgement (ARC), which constitute the contractual reference. GREENECLAT SAS reserves the right to revise its prices; orders are invoiced at the price in force on the date of their confirmation.

Article 5 — Payment terms

Unless special conditions are agreed in writing, invoices are payable in accordance with the terms stated on the invoice, within the maximum periods provided for in Article L.441-10 of the French Commercial Code. In accordance with that same article, any late payment automatically gives rise to late-payment penalties calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with a fixed recovery-cost indemnity of €40, without prejudice to any other remedy.

Article 6 — Retention of title

GREENECLAT SAS retains ownership of the delivered products until full payment of their price, principal and ancillary amounts. Risk, however, transfers upon delivery. In the event of non-payment, GREENECLAT SAS may reclaim the products.

Article 7 — Delivery and receipt

Delivery times are indicative only. A delay may not give rise to cancellation of the order, refusal of the goods, damages or penalties, unless otherwise agreed in writing. The Trade Customer must check the products on receipt and make any reservation or claim, in particular in the event of damage or shortage, in writing to the carrier and to GREENECLAT SAS within the statutory time limits.

Article 8 — Warranties

GREENECLAT SAS warrants that the products conform to their specifications. GREENECLAT SAS's liability is limited to the replacement of products found to be non-conforming or defective, to the exclusion of any indirect damage. The Trade Customer remains responsible for choosing the products with regard to its needs, as well as for their application and storage conditions.

Article 9 — Force majeure

GREENECLAT SAS shall not be liable for any non-performance due to an event of force majeure within the meaning of Article 1218 of the French Civil Code.

Article 10 — Personal data

Data processed in the course of the commercial relationship is handled in accordance with our Privacy policy.

Article 11 — Governing law and jurisdiction

These Trade Terms are governed by French law. Any dispute relating to their formation, performance or interpretation falls within the exclusive jurisdiction of the Versailles Commercial Court, notwithstanding multiple defendants or third-party proceedings, unless a mandatory legal provision provides otherwise.
